Terms of Service

Last updated November 4, 2026

These terms apply when you create a Shortfall account or use the service. By creating an account you agree to them on behalf of yourself and the agency you represent. If you don't agree, don't use the service.

  1. 1.The service

Shortfall reconciles exports you provide (such as timesheets, rate cards, VMS invoices and remittances) and reports differences it finds, with the source rows behind each one. The public demo processes files in memory and stores nothing. Saved audits store the files and findings described in our Privacy Policy.

  2. 2.Your account

    • Provide accurate information and keep your password confidential.
    • You're responsible for activity under your account and for the people you give access to your agency.
    • You must be authorized to act for the agency you name, and at least 18 years old.
  3. 3.Your data

You keep all rights to the files you upload and the results generated from them. You give us permission to store and process them only to provide the service to you.

Only upload data you're allowed to share. Shortfall needs worker IDs, not personal identifiers: don't upload Social Security numbers or similar data. Your agency's owners and admins can delete an audit, with its stored files, at any time.

  4. 4.Findings are a starting point

Findings are calculated from the files and program terms you provide. They can be wrong if the inputs are incomplete or don't reflect your contract. Review each finding before you act on it. Shortfall doesn't give legal, accounting or financial advice and doesn't guarantee that any amount will be recovered.

  5. 5.Acceptable use

    • Don't try to access another agency's data, probe or disrupt the service, or get around its limits.
    • Don't upload malicious files or content you have no right to use.
    • Don't resell the service or use it to build a competing product.
  6. 6.Fees

Shortfall is currently free to use. If we introduce paid plans, we'll tell you before any charge applies, and you can choose whether to continue.

  7. 7.Availability and changes

We work to keep Shortfall available and accurate, but the service is provided "as is" without warranties of any kind, to the extent the law allows. We may change or discontinue features. We'll give reasonable notice of material changes to these terms; the date at the top shows the latest version.

  8. 8.Liability

To the extent the law allows, Shortfall isn't liable for indirect, incidental or consequential losses, or for lost profits or revenue, arising from your use of the service. Nothing in these terms limits liability that can't be limited by law.

  9. 9.Ending your use

You can stop using Shortfall at any time, and your agency's owners and admins can delete its audits. We may suspend accounts that break these terms or put the service or other customers at risk.
